Terms of Service

1. Agreement to Terms

By accessing or using the ClearPoint CFO website ("Site") or purchasing any services offered by ClearPoint CFO ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Site or Services. ClearPoint CFO is operated by Eric Uva ("we," "us," or "our").

2. Services Description

ClearPoint CFO provides LinkedIn-based positioning and client acquisition services for fractional CFOs through the Client Acquisition System, which includes:

  • Acquisition Roadmap: A complimentary positioning diagnostic delivered via email within 48 hours of intake form submission.
  • Month 1 — Activation Phase: A positioning overhaul delivered within 15 days, including niche clarity, LinkedIn profile rewrite, branded case study, visual identity system, evergreen topic bank, and content architecture.
  • Month 2+ — Ongoing Acquisition: Ongoing monthly services including LinkedIn content creation (12 posts/month), strategic outreach and warm introductions sourced through LinkedIn, target account management (50–100 accounts), authority-building visibility, and performance tracking.

ClearPoint sources leads and conducts outreach exclusively through LinkedIn. All warm introductions referenced in our services are those sourced through LinkedIn engagement and strategic networking on the platform.

3. Payment Terms

The Client Acquisition System: $2,995/month, billed on the same date each month. Month 1 covers the Activation Phase. Month 2 onward covers Ongoing Acquisition. Work begins after the first payment is received and processed.

All payments are processed through Stripe. By providing payment information, you authorize us to charge the applicable fees. Prices are in U.S. dollars and do not include applicable taxes, which are your responsibility. ClearPoint reserves the right to adjust pricing with 30 days' written notice.

4. Deliverable Guarantee

For the Activation Phase engagement, we offer a deliverable guarantee: if your Activation Phase isn't delivered in 15 days, we continue at no extra charge until complete. If you are not satisfied with the deliverables, we will revise them until you are — at no additional cost. This guarantee applies to the deliverables themselves (quality, accuracy, and completeness), not to downstream business outcomes such as revenue, client acquisition, or lead volume. It does not entitle you to a refund of fees already paid. ClearPoint does not guarantee specific revenue, client acquisition, or business outcomes.

5. Cancellation Policy

The Client Acquisition System: The initial commitment is 60 days. After the initial 60-day period, you may cancel with 30 days' written notice. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months. Once the Activation Phase (Month 1) has commenced, that month's fee is non-refundable. If you need to pause the engagement, we will accommodate reasonable scheduling requests. All deliverables produced up to the cancellation date remain the property of the client.

6. Client Responsibilities

To ensure timely and effective delivery of Services, you agree to:

  • Provide accurate and complete information during the intake process
  • Respond to requests for feedback or approval within 5 business days
  • Complete the structured intake and provide voice memos as requested
  • Grant necessary access to your LinkedIn profile for content publishing (Month 2+)
  • Provide accurate information about your experience, credentials, and services
  • Not misrepresent ClearPoint-produced content as independently created

7. Intellectual Property

Upon full payment, you own all deliverables created specifically for you, including LinkedIn copy, case studies, content, visual assets, and outreach messaging. You may use these materials for any lawful purpose related to your professional practice.

ClearPoint CFO retains the right to use anonymized versions of deliverables and aggregated results for marketing, case studies, and portfolio purposes, unless you explicitly opt out in writing.

8. Confidentiality

We treat all client information as confidential. We will not share your personal information, business details, financial data, or deliverables with any third party without your explicit written consent, except as required by law. This obligation survives termination of the engagement.

9. Disclaimer of Results

ClearPoint CFO provides positioning, content, and outreach services. We do not guarantee specific business outcomes, including but not limited to: number of clients acquired, revenue generated, LinkedIn engagement metrics, or timeline to results. Retainer values shown in case studies reflect what clients charge their end clients, not ClearPoint's fee. Individual results vary based on niche selection, market conditions, engagement level, and other factors outside our control.

10. Limitation of Liability

To the maximum extent permitted by law, ClearPoint CFO's total liability for any claims arising from or related to the Services shall not exceed the total fees paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or business opportunities.

11. Indemnification

You agree to indemnify and hold harmless ClearPoint CFO, its owner, and its contractors from any claims, damages, or expenses arising from your use of the deliverables, your breach of these Terms, or your violation of any third-party rights.

12. Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to conflict of law principles. Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in Chicago, Illinois, in accordance with the rules of the American Arbitration Association.

13. Modifications

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of the Site or Services after any changes constitutes acceptance of the modified Terms.
